Terms of Service
These Terms of Service (the "Terms") govern access to and use of the JamboGrid reseller hosting platform, control panel, APIs, and related services (collectively, the "Services"). By registering for, reselling, or using the Services, you agree to be bound by these Terms.
1. Who we are
JamboGrid ("we", "us", or "JamboGrid") provides reseller hosting infrastructure that enables you to create, manage, and provision hosting plans for your own customers. When you resell the Services, you do so as an independent business and remain responsible for your end-customer relationships.
2. Eligibility and account registration
To create an account, you must be at least 18 years of age and capable of entering into a binding contract. You are responsible for ensuring that all information provided during registration is accurate and kept current. You must safeguard your login credentials and notify us immediately of any suspected breach of security.
3. Reseller responsibilities
When provisioning services for your customers, you must:
- Configure plans, pricing, and policies consistent with these Terms.
- Provide first-line support to your customers and escalate issues to us only when necessary.
- Ensure that your customers comply with our Acceptable Use Policy and applicable laws.
- Remain the merchant of record for transactions you conduct with your customers.
You acknowledge that we do not have a direct contractual relationship with your customers and that you are solely responsible for managing their expectations, billing, and support obligations.
4. Acceptable use
You and your customers may not use the Services to store, host, or distribute content that is unlawful, harmful, abusive, infringing, defamatory, or otherwise objectionable. Prohibited activities include, but are not limited to, spamming, phishing, distributing malware or unauthorized software, launching denial-of-service attacks, mining cryptocurrency without consent, or engaging in any activity that could damage our network or reputation. We reserve the right to suspend or terminate accounts involved in prohibited activities without prior notice.
5. Service provisioning and resource limits
Service availability, resource allocations, and plan limits are detailed within the control panel. You must stay within your allocated quotas and select appropriate plans for your customers' workloads. Exceeding agreed limits may result in throttling, additional charges, or suspension until usage is back within range. We may update resource limits periodically to maintain platform stability.
6. Billing and payment
Unless otherwise agreed in writing, you will be billed monthly in advance for reseller resources and any metered overages incurred the previous period. Invoices are due upon receipt. Late payments may result in service suspension. You are responsible for charging and collecting payment from your customers, including managing any refunds or chargebacks.
7. Support and maintenance
We provide backend infrastructure management, security updates, and platform monitoring. You are responsible for frontend customer support, onboarding, and configuration. Certain maintenance windows may require planned downtime; we will provide reasonable notice when feasible. Emergency maintenance may occur without notice if needed to protect the Services.
8. Data protection
Each party agrees to handle personal data in accordance with applicable privacy regulations. We process limited personal data to deliver the Services, as described in our Privacy Policy. You are responsible for ensuring that your collection and use of customer data complies with applicable laws and for obtaining any required consent from your customers.
9. Intellectual property
We retain all rights, title, and interest in and to the Services, including software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to resell the Services to your customers. You must not reverse engineer, decompile, or otherwise attempt to derive source code from any part of the Services.
10. Confidentiality
Information exchanged while using the Services that is marked or reasonably understood to be confidential must be protected by the receiving party and used solely to fulfill these Terms. This obligation does not apply to information already public, independently developed, or obtained from a third party without breach.
11. Suspension and termination
We may suspend or terminate access to the Services if you breach these Terms, fail to pay invoices, create security or legal risks, or cause harm to the platform or other customers. You may terminate your account at any time by providing 30 days' written notice. Upon termination, you remain responsible for outstanding fees and must back up any customer data prior to service cessation.
12. Warranties and disclaimers
Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
13. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or exemplary damages, or loss of profits, revenues, goodwill, or data. Our aggregate liability for any claim arising under these Terms will not exceed the fees paid to us for the Services within the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless JamboGrid, its affiliates, and their respective officers, directors, and employees from any claims, losses, damages, liabilities, and expenses arising out of or related to (a) your reselling activities, (b) content or data you host using the Services, or (c) your breach of these Terms.
15. Changes to the Services or these Terms
We may update the Services and these Terms from time to time to reflect operational, legal, or regulatory changes. Material changes will be communicated via the control panel, email, or other reasonable methods. Continued use of the Services after updates indicates acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use of the Services.
16. Governing law
These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict-of-law rules. Any disputes will be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.
